Circuit Blaster LLC - Proprietary Software License Agreement Version 1.0 - Effective August 20, 2025 Copyright (c) 2025 Circuit Blaster LLC. All rights reserved. This Proprietary Software License Agreement ("Agreement") is a legal agreement between you (an individual or entity) ("Licensee" or "you") and Circuit Blaster LLC ("Licensor" or "Circuit Blaster") governing your use of the Software (as defined below). By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software. 1. Definitions "Software" means the Circuit Blaster application in ALPHA release, including all executable code, scripts, sample data, templates, and related materials provided by Circuit Blaster, and any Updates made available to you under this Agreement. "Documentation" means user guides, specifications, release notes, and other documentation provided by Circuit Blaster. "Update" means bug fixes, patches, or other modifications to the Software made available by Circuit Blaster, if any. "Output" means results generated by the Software based on inputs you provide. 2. License Grant; Scope Subject to your compliance with this Agreement, Circuit Blaster grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use one copy of the Software solely for your internal business purposes or personal use, in accordance with the Documentation, and only during the term of this Agreement. 3. Restrictions Except to the extent prohibited by law, you shall not: a) copy, modify, adapt, translate, create derivative works of, or otherwise alter the Software; b) distribute, sell, rent, lease, lend, timeshare, sublicense, assign, disclose, or make the Software available to any third party; c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Software; d) remove, obscure, or alter any proprietary notices; e) use the Software for service-bureau, hosting, or outsourcing purposes; f) use the Software for high-risk activities where failure could result in death, personal injury, or severe environmental or property damage; or g) use the Software in violation of any applicable law or regulation. 4. Ownership The Software is licensed, not sold. Circuit Blaster and its licensors own and retain all rights, title, and interest in and to the Software and Documentation, including all intellectual property rights therein. No rights are granted by implication, estoppel, or otherwise except as expressly set forth in this Agreement. 5. ALPHA / Pre-Release Notice; Acceptable Use The Software is an ALPHA release and may contain bugs, errors, and incomplete functionality. It is provided solely for limited evaluation and internal use. It is not intended for detailed analysis or large-scale projects. Any such use is at your sole risk. Outputs are approximate and must be independently verified using a control or manual method. The Software does not constitute engineering, legal, accounting, or other professional advice. 6. Feedback If you provide ideas, suggestions, bug reports, or other feedback ("Feedback"), you grant Circuit Blaster a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback without restriction. 7. Third-Party Components The Software may include or interoperate with third-party libraries or open-source components subject to their own licenses. To the extent of any conflict, the third-party license terms govern those components. 8. Updates; Changes; Telemetry Circuit Blaster may, but has no obligation to, provide Updates or modify, suspend, or discontinue the Software or any feature at any time. The Software may collect de-identified technical or usage information for diagnostics and improvement. No personal data is required unless you choose to provide it; any personal data provided will be handled in accordance with Circuit Blaster's then-current privacy practices. 9. No Support Obligations Unless Circuit Blaster expressly agrees in writing, Circuit Blaster is under no obligation to provide maintenance, support, training, or service level commitments. 10. Disclaimer of Warranties THE SOFTWARE AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." CIRCUIT BLASTER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. Without limiting the foregoing, Circuit Blaster does not warrant that the Software will be error-free, uninterrupted, secure, or that defects will be corrected, or that Outputs will be accurate or suitable for any specific use case. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: a) NO CONSEQUENTIAL DAMAGES. IN NO EVENT WILL CIRCUIT BLASTER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; BUSINESS INTERRUPTION; OR SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. b) CAP. CIRCUIT BLASTER'S TOTAL LIABILITY FOR ALL CLAIMS UNDER OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID (IF ANY) FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (ii) USD $100. These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. 12. Indemnification by You You will defend, indemnify, and hold harmless Circuit Blaster, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your (a) use of the Software or Outputs, (b) violation of this Agreement, or (c) violation of applicable law. 13. Term; Termination This Agreement is effective upon your first download, installation, or use of the Software and continues until terminated. Circuit Blaster may terminate this Agreement immediately if you breach any term. You may terminate by ceasing all use and destroying all copies. Upon termination, the license ends and you must promptly uninstall and destroy all copies of the Software and Documentation. Sections 3-5 and 7-20 survive termination. 14. Export; Sanctions You represent that you are not located in, under the control of, or a national/resident of any country or party subject to U.S. embargoes or sanctions. You will comply with all applicable export control and sanctions laws. 15. Government Users The Software and Documentation are "commercial computer software" and "commercial computer software documentation." If acquired by or on behalf of a U.S. Government end user, use, duplication, or disclosure is subject to the restrictions in FAR 12.212 and DFARS 227.7202, as applicable. 16. Governing Law; Venue This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any dispute arising out of or relating to this Agreement. 17. Injunctive Relief You acknowledge that unauthorized use or disclosure of the Software would cause irreparable harm to Circuit Blaster for which monetary damages are inadequate, and Circuit Blaster may seek injunctive or equitable relief without posting bond. 18. Assignment You may not assign or transfer this Agreement, by operation of law or otherwise, without Circuit Blaster's prior written consent. Any attempted assignment in violation of the foregoing is void. Circuit Blaster may assign this Agreement. 19. Severability; Waiver If any provision is held unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Failure to enforce any provision is not a waiver. 20. Entire Agreement; Order of Precedence This Agreement constitutes the entire agreement between you and Circuit Blaster regarding the Software and supersedes all prior or contemporaneous understandings on this subject. Any terms on a purchase order or similar document are rejected and have no effect unless expressly accepted in a writing signed by Circuit Blaster.
